This document is published in accordance with the provisions of Rule 3 (1) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 and the Consumer Protection (E-Commerce) Rules, 2020 that require publishing the rules, regulations, privacy policy, and Terms and Conditions for access or usage of the retail e-commerce platform Shopper Cart[cite: 1, 2].
The platform Shopper Cart is owned, controlled, and operated by Navsoft Technologies, having its corporate and operational office at Innov8, Aurum Q Parç, Thane – Belapur Rd, Reliance Corporate Park, MIDC Industrial Area, Ghansoli, Navi Mumbai, Maharashtra 400701 (hereinafter referred to as the “Company”, “Shopper Cart”, “we”, “us”, or “our”)[cite: 1, 2].
For the purpose of these Terms and Conditions, wherever the context so requires, “you”, “your”, or “User” shall mean any natural or legal person who has agreed to become a buyer or visitor on the Platform[cite: 2]. By accessing, browsing, registering an account, or placing an order on our Platform, you enter into a legally binding contract with the Company. If you do not unconditionally agree to these Terms and Conditions, you must refrain from using or accessing the Platform.
1. ELIGIBILITY AND ACCOUNT GOVERNANCE
Use of the Platform is available only to persons who can form legally binding contracts under the Indian Contract Act, 1872. Persons who are “incompetent to contract” within the meaning of the Indian Contract Act, 1872 (including un-discharged insolvents and minors under the age of eighteen years) are not eligible to use the Platform. If you are a minor, you may use the Platform only under the direct supervision and with the prior express consent of a parent or legal guardian.
If you establish an account on the Platform, you are solely responsible for maintaining the confidentiality of your display name, login credentials, and One-Time Passwords (OTPs), as well as restricting access to your computer or mobile device. You agree that if you provide any information that is untrue, inaccurate, outdated, or incomplete, the Company reserves the unconditional right to suspend, terminate, or indefinitely block access to your account.
2. COMMERCIAL OFFERINGS AND PRICING
While the Company endeavors to provide accurate product descriptions, photographic depictions, and pricing indications, errors may occur:
- Typographical and Visual Variations: The Company does not warrant that product descriptions, dimensions, fabric shades, or other content on the Platform are completely error-free or represent exact real-life replications, as monitor displays and dye lots may cause subtle aesthetic differences.
- Pricing Anomalies: In the event that a product is mistakenly listed at an incorrect price or with erroneous specifications, the Company reserves the contractual right to decline, cancel, or revoke any orders placed for that item prior to shipment dispatch, irrespective of whether the order was confirmed or your payment method was debited. In such instances, a full refund of any debited funds will be remitted to the original source.
- Price Fluctuations: Prices, shipping levies, promotional incentives, and availability of products are subject to unilateral change without prior legal notice.
3. ORDER PROCESSING, CONTRACT OF SALE, AND CANCELLATION
Placement of an order by a buyer constitutes a binding commercial offer to purchase merchandise. An electronic confirmation or order acknowledgment receipt transmitted to you does not signify our formal legal acceptance of your offer. The contract of sale between the Company and the User is finalized exclusively upon the physical packaging, consignment hand-off, and formal dispatch of the items from our centralized fulfillment network[cite: 1, 2].
The Company expressly reserves the statutory right to limit order quantities, refuse service, terminate accounts, or cancel orders at our sole discretion for valid operational grounds, including but not limited to:
- Suspected fraudulent activities, unauthorized automated bot checkouts, or bulk scalping.
- Unserviceable logistics delivery pin codes or force majeure events hindering transport.
- Unverified, failed, or non-responsive communications during mandatory Cash on Delivery (COD) authentication procedures[cite: 1, 2].
- Inventory stock-outs, manufacturing defects identified during dispatch packaging, or regional supplier halts[cite: 2].
4. PAYMENT PROTOCOLS AND COD VERIFICATION
All commercial transactions are invoiced in Indian National Rupees (INR). You warrant that you are legally authorized to utilize the financial instrument (Debit/Credit Card, UPI, Net Banking, or Digital Wallet) deployed during checkout:
- Third-Party Processing: Online settlements are processed via authorized, bank-grade, PCI-DSS-compliant domestic payment aggregator partners. The Company does not collect, record, or retain sensitive personal payment credentials (CVV/PIN).
- Cash on Delivery (COD) Mechanism: COD orders are subject to a maximum transactional limit of ₹3,000 and incur a non-refundable cash collection handling charge of ₹29 per consignment.
- Mandatory Verification: All COD bookings require mandatory verification via programmatic One-Time Password (OTP), telephonic validation, or instant digital messaging channels[cite: 1, 2]. The Company will not dispatch COD orders that remain unverified within designated processing thresholds.
- Delivery Protocol: Cash on Delivery consignments require settlement in full prior to the physical handover of the parcel. Open-box inspections or testing prior to full cash handover are strictly prohibited under logistics carrier rules.
5. SHIPPING, TITLE, AND TRANSIT RISK
The operational conditions, delivery timelines, and logistics procedures applicable to all consignments are governed in detail by our published Shipping & Delivery Policy[cite: 1]. Orders are prepared for logistics transit within two (2) working days post-confirmation.
Risk of loss and title for all merchandise ordered by you pass to the purchaser upon physical delivery and receipt of the package at the designated address. The Company shall not be held liable for transit delays arising from customs inspections, municipal transit bans, civil unrest, natural disasters, or erroneous postal information provided by the purchaser.
6. RETURNS, REFUNDS, AND EXCHANGE GOVERNANCE
All returns, replacements, and refund claims are governed exclusively by our published Return & Refund Policy[cite: 1]:
- Return Window: All return claims must be initiated strictly within four (4) working days from the date of package delivery[cite: 2].
- Condition of Returned Goods: Products must be returned in their pristine, unwashed, unaltered condition with original packaging, manufacturer tags, barcodes, and accessories intact[cite: 2].
- Exempt Categories: Due to statutory hygiene, health compliance, and liquidations, returns are categorically prohibited for innerwear, personal care, grooming, hygiene formulations, and items marked as clearance sales[cite: 2].
- Refund Settlement: Eligible refunds will be finalized within two (2) working days following physical receipt and verification at our processing facility[cite: 2]. Prepaid orders will be remitted to the original instrument; COD returns will be settled via authenticated UPI or direct bank transfer[cite: 1].
7. INTELLECTUAL PROPERTY RIGHTS
All content included on the Platform—including but not limited to textual copy, button icons, graphical banners, corporate logos, UI frameworks, digital assets, data compilations, software code, and brand styling—is the exclusive proprietary asset of Navsoft Technologies or its licensed operational suppliers, protected under the Indian Copyright Act, 1957 and the Trade Marks Act, 1999.
You may not systematically extract, scrape, duplicate, frame, mirror, republish, or commercially exploit any material from this Platform without the prior express written authorization of the Company.
8. CODE OF CONDUCT AND PROHIBITED ACTIVITIES
You agree and undertake that your utilization of the Platform shall strictly adhere to the following principles. You shall not host, display, upload, modify, publish, transmit, or share any information that:
- Belongs to another entity and to which you do not have any legitimate right.
- Is defamatory, obscene, pornographic, pedophilic, invasive of another’s privacy, insulting, or racially objectionable.
- Infringes any patent, trademark, copyright, or other proprietary rights.
- Violates any law for the time being in force within the Republic of India.
- Deceives or misleads the addressee about the origin of messages or knowingly communicates any misinformation.
- Contains software viruses or any other computer code designed to interrupt, destroy, or limit the functionality of any computer resource.
- Imposes an unreasonable or disproportionately large load on our server hardware or network infrastructure.
9. DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY
This Platform, all products, and services included on or otherwise made available to you through this site are provided on an “as is” and “as available” basis without any representations or warranties, express or implied, except as otherwise specified in writing.
To the fullest extent permissible by applicable law, in no event shall Navsoft Technologies, its directors, officers, employees, affiliates, or logistics partners be held liable for any indirect, incidental, punitive, special, or consequential damages arising out of or in connection with the purchase, use, inability to use, or delivery of products sold on the Platform.
In any circumstance, the absolute aggregate legal liability of the Company to you for all claims, damages, losses, and causes of action arising out of these Terms and Conditions or your access to the Platform shall be strictly capped at and limited to the total monetary amount actually paid by you for the specific transaction giving rise to the dispute.
10. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Navsoft Technologies, its operating entity Shopper Cart, its directors, officers, agents, contractors, and employees from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorney’s fees) asserted by any third party resulting from or arising out of your breach of these Terms and Conditions, your violation of any statutory provision, or your infringement of any intellectual property rights of any third party[cite: 1, 2].
11. GOVERNING LAW AND JURISDICTION
These Terms and Conditions, all commercial transactions on the Platform, and the legal relationship between you and the Company shall be interpreted, construed, and governed exclusively in accordance with the substantive laws of the Republic of India, without giving effect to any principles of conflict of laws.
Subject to mutual mediation, the parties agree that any legal suit, claim, dispute, or proceeding arising out of or related to these Terms and Conditions shall be submitted to the exclusive jurisdiction of the competent civil courts situated in Thane / Navi Mumbai, Maharashtra, India.
